About KAH-LAW
Through KAH-LAW PC, I serve as outside general counsel and special transaction counsel to a variety of business clients. I practice in the areas of general corporate and business law, mergers and acquisitions, securities, corporate finance, real estate and franchising.
After graduating from law school at the University of Minnesota and learning the buying and selling businesses and other M&A and corporate finance at Dorsey & Whitney. I spent two incredible years in London at FFHS&J doing top level corporate finance and securities, international M&A and cross-border lending – and seeing a bunch of soccer at the highest and playing a bit at the lowest levels.
Writing a firm memo to a London “magic circle” law firm explaining how security interests operate in the US can certainly educate you on the intricacies of our UCC. Participating in the drafting of the firm’s Sarbanes-Oxley Primer can do the same for securities.
Since 2002, I have used those skills and experience primarily in the multi-unit retail industry – most of those years at Krass Monroe (nka Monroe Moxness Berg), where Dennis Monroe and Randy Berg among others gave me all kinds of restaurant and multi-unit deals to work on.
I left MMB in 2010, operating Of Counsel with Soffer Charbonnet for a few years years but basically on my own since then. My practice centers on the restaurant and hospitality industries, automotive aftermarket, health and wellness, beauty and other franchised or multi-unit retail markets. I currently serve as outside general counsel to several multi-unit franchised restaurant operators and other multi-unit retail businesses. My practice is not limited to multi-unit retail, with other real estate, corporate formation and organization and general business transactions occupying a fair bit of the practice.
The Other Side
My truest joy are my two children: Oliver is a freshman at Carleton College and Bergen a junior in high school; both are excellent students, amazing musicians and wonderful people. I love my dog, Chico. I am an avid soccer fan, a diehard supporter of Liverpool FC (YNWA!) and season ticket holder to Minnesota United FC. I play as much golf as I can. Seeing live music across the spectrum of genres has always been a part of my life.
I received my law degree, magna cum laude, from the University of Minnesota in 1999, and my undergraduate degree, magna cum laude, from Macalester College, having also attended the University of Pennsylvania, Wharton School.
